6.2 Client Data and Information
All client data, systems information, and business intelligence remain the property of the client. We do not claim any ownership rights over client information.
6.3 Work Product
Reports, recommendations, and deliverables created specifically for a client become the property of that client, subject to our right to retain copies for professional records and quality assurance purposes.
7. Confidentiality
We maintain strict confidentiality regarding all client information:
- All client information is treated as confidential and proprietary
- Information is only shared with authorised team members on a need-to-know basis
- We do not disclose client information to third parties without explicit consent
- Confidentiality obligations survive termination of our service relationship

8. Limitation of Liability

- Implementation of recommendations remains the client's responsibility

- No security assessment can identify all possible vulnerabilities
8.2 Liability Cap
To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
8.3 Excluded Damages
We shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
9. Professional Indemnity
Kelex Labs maintains professional indemnity insurance appropriate to the nature and scale of our services. Details of our insurance coverage are available upon request.
10. Payment Terms
10.1 Fees and Billing
Service fees are specified in individual service agreements. Unless otherwise agreed:
- Assessment services are typically billed upon completion
- Managed services are billed monthly in advance
- Payment terms are net 30 days from invoice date
- Late payments may incur interest charges
10.2 Expenses
Reasonable expenses incurred in service delivery (travel, accommodation, etc.) will be billed separately with appropriate documentation.
11. Termination
11.1 Termination by Client
Clients may terminate services with appropriate notice as specified in the service agreement. Fees for work completed up to the termination date remain payable.
11.2 Termination by Kelex Labs
We may terminate services if:
- Payment terms are not met
- Client fails to provide necessary cooperation or access
- Continuation of services would violate legal or ethical requirements
- There is a fundamental breach of the service agreement
11.3 Post-Termination
Upon termination, we will return or securely destroy client data as requested, subject to our legal and professional record-keeping requirements.

12.1 Acceptable Use

14. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, pandemics, or technical failures.
15. Governing Law
These Terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the English courts. Any disputes will be resolved through good faith negotiation, with recourse to mediation or arbitration as appropriate.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated to existing clients, and continued use of our services constitutes acceptance of updated Terms.

18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.
